Capitalised terms used but not defined herein have the meanings ascribed to them in the Terms of Use.


1. No Financial Advice

Trading Meme Coins ("TMC") is a software interface that lets users discover, create, buy and sell user-generated Digital Assets on the Solana blockchain. TMC is not a broker, dealer, investment adviser, financial planner, exchange, custodian, wallet provider or fiduciary of any kind.

Nothing on the TMC Platform — including any token listing, market data, chart, comment, label, badge, ranking, search result, push notification, social-media post or other user-generated or system-generated content — is intended to constitute, or shall be construed as, financial, investment, accounting, legal or tax advice.

You should not interpret the availability of a token on the TMC Platform as a recommendation by TMC to acquire, hold or dispose of that token. Listing of a token reflects only the fact that a user permissionlessly created it; it does not reflect any due diligence, endorsement, vetting or approval by TMC.

2. No Investment Recommendations

TMC does not recommend, endorse or promote any specific Digital Asset, token, project, creator, smart contract, liquidity pool, or trading strategy. Any references to "trending", "top", "graduated", "popular", "new" or similar labels are based solely on automated, deterministic metrics (such as trade volume, market capitalisation or recency) and must not be interpreted as suggestions to buy or sell.

Past performance is not indicative of future results. A token that has risen sharply in value may collapse to zero within minutes. A token that has graduated to a Raydium AMM pool may still lose all of its value.

3. Risks of Memecoins

Memecoins are speculative, highly volatile and frequently worthless. You acknowledge and accept the following risks, which are not exhaustive:

  • Total loss of capital. The vast majority of memecoins lose substantially all of their value, often within hours of creation. You should never deposit funds you cannot afford to lose entirely.
  • Extreme volatility. Prices can move by tens or hundreds of percent in either direction in seconds, with little or no warning.
  • Market manipulation. Memecoin markets are routinely targeted by "pump-and-dump" schemes, wash trading, spoofing, coordinated buying and selling, paid promotion, fake influencer endorsements, and other manipulative practices that may be impossible for you to detect in real time.
  • Liquidity risk. A token's bonding curve or AMM pool may have insufficient liquidity to allow you to exit your position at any particular price, or at all.
  • Rug pulls and insider activity. Token creators or early holders may dump their holdings, drain liquidity, abandon the project, or otherwise behave in ways that destroy value for other holders.
  • Smart contract risk. Bonding curves, AMM pools, token metadata programs, wallet adapters and any other smart contracts you interact with are software and may contain bugs, exploits or design flaws that result in partial or total loss.
  • Network risk. The Solana network may experience congestion, outages, forks or other events that prevent transactions from confirming, cause them to fail, or change their economic outcome.
  • Front-running and MEV. Other participants — including automated bots — may observe pending transactions and place their own transactions ahead of yours, capturing value at your expense.
  • Counterparty and oracle risk. Token prices, names, symbols, images and metadata are user-generated; they may be misleading, infringing, or designed to deceive.
  • No deposit insurance. Digital Assets are not bank deposits and are not insured by any government agency or private scheme.

You acknowledge that you have, or will obtain, sufficient understanding of these risks before transacting. If you do not understand a risk, do not transact.

4. No Tax Advice

TMC does not provide tax advice. The tax treatment of buying, selling, holding, transferring, swapping, staking, earning, gifting or otherwise dealing in Digital Assets varies by jurisdiction and by individual circumstance. You are solely responsible for:

  • Determining whether and when a taxable event has occurred;
  • Calculating the amount of any tax due;
  • Filing all required tax returns and information reports;
  • Paying any tax, interest, penalty or surcharge owed; and
  • Keeping records sufficient to substantiate your filings.

We strongly recommend consulting a qualified tax professional in your jurisdiction before transacting on the TMC Platform. TMC does not withhold any tax and does not issue tax statements.

5. Third-Party Smart Contracts and Infrastructure

The TMC Platform interoperates with third-party smart contracts and infrastructure that TMC neither owns, operates, audits nor controls. These include, without limitation:

  • The Solana base layer and validator network;
  • Raydium LaunchLab (bonding curve program) and Raydium AMM (graduated liquidity pools);
  • Token metadata, wallet adapter, and SPL token programs;
  • Wallet applications such as Phantom, Solflare and any other Wallet Standard-compatible provider;
  • On- and off-ramp providers such as MoonPay;
  • IPFS pinning services such as Pinata and the underlying IPFS network;
  • Price feeds, RPC endpoints, indexers, charting libraries and other public data providers (including Jupiter, Helius, TradingView and others).

TMC makes no representation or warranty as to the security, availability, correctness, fitness for any purpose, or continued existence of any third-party infrastructure. Any interaction with a third-party smart contract is at your sole risk. A bug, exploit, governance action, fee change, deprecation, censorship event, or operational failure affecting any third party may result in partial or total loss of your funds, with no recourse against TMC.

6. User Responsibility

You are solely responsible for:

  • Securing your wallet, private keys and seed phrase. TMC is non-custodial. We never hold, see or have the ability to recover your keys. If your keys are lost, stolen, phished, leaked or compromised, your funds are gone and TMC cannot help.
  • Verifying every transaction before signing. Wallet popups show the exact instructions you are authorising. If anything looks unfamiliar, decline the signature.
  • Doing your own research ("DYOR"). Read the smart contract. Read the team's public statements. Read the token's distribution. Check on-chain holder concentration. If you cannot do these things, do not transact.
  • Complying with your local laws. This includes securities, commodities, derivatives, anti-money-laundering, sanctions, tax, consumer-protection and gambling laws.
  • Maintaining your own records. Blockchains are immutable but the TMC Platform UI is not a record of authority. Reconstruct your history from on-chain data, not from the TMC website.

You agree to indemnify, defend and hold TMC harmless from any claim arising out of your acts, omissions, breach of these terms, or use of the TMC Platform, on the terms set out in the Terms of Use.

7. No Warranties

The TMC Platform and all TMC Services are provided strictly "AS IS" and "AS AVAILABLE", with all faults and without warranty of any kind, whether express, implied, statutory or otherwise. To the maximum extent permitted by applicable law, TMC disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, uninterrupted availability, freedom from defects, security, freedom from viruses, or compatibility with any specific hardware, software, wallet or browser.

Without limiting the foregoing, TMC does not warrant that:

  • The TMC Platform will be available at any particular time or place;
  • Defects will be corrected;
  • The TMC Platform is free of harmful components;
  • Any data — including prices, market caps, charts, trade history, holder counts, PnL, profile information, comments, or labels — is accurate, complete, current or reliable;
  • Any token will retain any particular value, or any value at all;
  • Any token will be tradable at any particular price or quantity, or at all;
  • Any transaction will confirm, or will confirm with any particular speed, fee or outcome.

8. Restricted Jurisdictions

The TMC Platform is not offered to, and may not be used by, persons or entities located in, organised under the laws of, or resident in any jurisdiction in which such use would be unlawful. Without limiting the Eligibility provisions of the Terms of Use, this includes residents of and persons present in the United States of America (and its territories), the European Economic Area, the United Kingdom, and any jurisdiction subject to comprehensive sanctions administered by the U.S. Office of Foreign Assets Control ("OFAC"), the United Nations Security Council, the European Union, His Majesty's Treasury or other applicable sanctions authorities.

If you access the TMC Platform from a restricted jurisdiction — whether directly, through a VPN, proxy, anonymising service, or by misrepresenting your location — you do so in violation of these terms and assume full responsibility for any resulting loss, regulatory action, prosecution or civil liability. TMC may detect, block, restrict or terminate access from restricted jurisdictions at any time, with or without notice, and is under no obligation to do so.

9. Limitation of Liability

To the maximum extent permitted by applicable law, TMC, its affiliates, officers, directors, employees, agents, contractors and licensors shall not be liable for any loss, damage, cost or expense — whether direct, indirect, incidental, special, consequential, exemplary, punitive or otherwise — arising out of or in connection with:

  • Your use of, or inability to use, the TMC Platform;
  • Any reliance you place on any content or data on the TMC Platform;
  • Any decision to buy, sell, hold or otherwise transact in any Digital Asset;
  • Any act or omission of any third party (including wallets, RPC endpoints, smart contracts, on-/off-ramps, oracles or other users);
  • Any unauthorised access to or alteration of your wallet, transmissions or data;
  • Any bug, exploit, downtime, network congestion, fork, censorship event or other technical failure;
  • Any loss of profits, revenue, goodwill, opportunity, data or anticipated savings, even if foreseeable.

The aggregate liability of TMC arising out of or relating to the TMC Platform shall not exceed the greater of (a) the platform fees TMC has actually received from you in the twelve (12) months preceding the event giving rise to the claim, and (b) one hundred United States Dollars (USD 100). This limitation is a fundamental basis of the bargain between you and TMC. See Terms of Use, Section 21 for the full limitation-of-liability framework.

10. Changes to this Disclaimer

TMC may amend this Disclaimer at any time by posting an updated version on the TMC Platform. The "Last Updated" date at the top of this page reflects the date of the most recent change. Material changes are also surfaced through the in-app re-acceptance flow described in the Terms of Use. Your continued use of the TMC Platform after a change is published constitutes your acceptance of the updated Disclaimer.
