Terms of Use
Trading Meme Coins ("TMC") · Version 2026-10-15
1. Acceptance & Eligibility
These Terms of Use ("Terms") govern your access to and use of the TMC website, application, and trading interface (the "Interface"), operated by the TMC team ("TMC", "we", "us"). By accessing or using the Interface you agree to these Terms and to the Privacy Policy, Risk Disclaimer, DMCA Policy, Trademark Policy, and Fee schedule, each incorporated by reference. If you do not agree, do not use the Interface. You must be at least 18 and legally able to enter a binding contract, and you must not be a Restricted Person (Section 10). You make these representations each time you use the Interface.
2. Definitions
- "Interface": the TMC software that lets you view Solana token market data and construct, sign, and broadcast trade transactions from a wallet you control.
- "Connected Wallet": a self-custodial browser or hardware wallet you own (e.g., Phantom, Solflare) that you connect to the Interface.
- "Embedded Wallet": a self-custodial wallet provisioned for you through our infrastructure provider Turnkey, whose keys are held within a hardware-backed secure enclave (TEE). You access it by signing in with Google or with a one-time email code; your trades are signed by a session key created in your browser, which cannot be exported. TMC cannot access, move, export, or recover the keys of an Embedded Wallet.
- "Wallet": a Connected Wallet or an Embedded Wallet.
- "Trade": a swap of one Solana token for another (including SOL), constructed by the Interface and authorized and signed by you.
- "Third-Party Programs": the on-chain programs, protocols, and aggregators to which your signed transactions are routed (e.g., the Pump bonding-curve program pre-graduation, and the Jupiter aggregator and its underlying venues post-graduation). TMC does not own, operate, or control any Third-Party Program.
- "Fee": the service fee described in Section 6 and the Fee schedule.
3. Nature of the Service: Non-Custodial Interface
TMC is a non-custodial software interface. TMC is not a broker, dealer, exchange, money services business, money transmitter, custodian, investment adviser, or financial institution.
TMC does not: take custody of, hold, or control your assets, private keys, seed phrases, or Wallet at any time; operate a matching engine or order book, or match trades off-chain; operate any smart contract that holds user funds, execute trades on your behalf, or act as a counterparty to any Trade (the Interface constructs transactions that you sign and that are settled by Third-Party Programs on the Solana blockchain); offer, mint, issue, or create any token, and does not endorse, vet, or guarantee any token displayed; provide any fiat on-ramp, off-ramp, or fiat payment service, and does not perform identity verification (KYC/AML).
The Interface is a tool for interacting with public, permissionless infrastructure on Solana. You are the sole party that authorizes and controls every transaction.
4. Wallets and Your Responsibility
4.1 Connected Wallet. You keep full custody of your keys; your wallet software signs locally. TMC never receives your keys.
4.2 Embedded Wallet (1-Click). Keys are generated and stored within Turnkey's secure enclave (TEE). You sign in with Google or with a one-time code sent to your email; each sign-in creates a session key in your browser that cannot be exported and signs only within rules enforced by Turnkey. No seed phrase is generated or shown, and there is no separate recovery: you regain access by signing in again with the Google account or the email address linked to your account. TMC cannot view, export, move, or reconstruct your keys, and cannot recover access for you.
4.3 Your responsibility. You are solely responsible for the security of your Wallet, your devices, and the Google account or email inbox you sign in with. Anyone who controls these controls your assets. Losing access to your Google account or email inbox may cause permanent, irreversible loss of access to your Embedded Wallet and its assets.
4.4 No reversal. Blockchain transactions are final. TMC cannot cancel, reverse, refund, or modify any transaction once broadcast.
5. Trading Through the Interface
When you initiate a Trade, the Interface constructs a transaction from your inputs (amount, slippage, priority). You authorize and sign it, and it is broadcast to Solana and settled by Third-Party Programs. TMC does not guarantee that any transaction will confirm, will confirm at a given price, or will avoid slippage, front-running, or MEV. Prices, market caps, liquidity, and other figures are estimates from public and third-party data and may be delayed, incomplete, or inaccurate. You accept full responsibility for every transaction you sign.
6. Fees and Rewards
TMC charges a service fee of 1.25% of trade volume (assessed on the SOL side of each Trade: SOL out on a sell, SOL in on a buy), plus a small fixed network-cost component on Embedded-Wallet ("1-Click") Trades. The Fee applies to every Trade the Interface routes, before and after a token's graduation to an automated market maker. The Fee is included inside the transaction you authorize and sign and is routed on-chain; it is verifiable within your own signed transaction.
The Fee applies to Trades only. The only other charge is the Claim Fee in Section 6.3, which applies when you claim Rewards. Deposits, withdrawals, and transfers of your own assets are free: apart from the Claim Fee, TMC only charges for the transactions it constructs and that you sign to trade. The complete, current terms are in the Fee schedule. TMC may change the Fee prospectively; changes apply only to Trades made after they take effect.
6.1 Rewards. TMC may offer cashback and referral rewards (together, "Rewards"). Rewards are a share of the variable, percentage-based portion of the Fee that TMC actually receives on-chain for Trades made with an Embedded Wallet. They are never calculated on the fixed network-cost component, on blockchain network fees, or on Trades made with a Connected Wallet. Cashback is calculated on a base of 0.50% of your trading volume; referral rewards are calculated on a base of 1% of the trading volume of the users you referred. Rewards are paid in SOL. Rewards are a rebate on Fees. They are not a deposit, an investment or interest, and they do not reduce the risk of loss from trading. You are responsible for any taxes that apply to them.
6.2 Tiers. Your cashback rate depends on your trading volume over the trailing 7 days. A referrer's rate depends on the combined trailing 7-day volume of the users they referred. The tiers, thresholds and rates are set out in the Rewards documentation and on the Rewards page. A tier rises as soon as its threshold is reached. A tier falls by at most one level at a time, and at most once in any 7-day period. A user who joined through a referral link starts at the first paid tier and, like any other user, falls back to no cashback if they stop trading. A referrer reaches the first paid tier at the first Trade of their first referred user and does not fall below it. A user can be attached to a referrer only within 24 hours after creating the account, and an account has one referrer.
6.3 Claiming and the Claim Fee. Rewards are never paid automatically. To receive them, you must claim them with the Claim button in the Interface. One claim covers both cashback and referral rewards. A claim is accepted only when the total claimable amount is at least the minimum claim amount stated in the Rewards documentation. Claimed Rewards are sent in SOL to your primary Embedded Wallet and to no other address, in payouts of at most 2 SOL each. Each payout carries a fixed fee of 0.00097 SOL (the "Claim Fee"), which is deducted from the amount claimed and covers the cost of signing and sending the payout. A claim split into several payouts carries one Claim Fee per payout. The Interface shows the net amount you will receive before you claim.
6.4 Cashback expires after 24 hours. When your unclaimed cashback reaches the minimum claim amount, it becomes claimable for 24 hours. Cashback that is not claimed within those 24 hours expires and is permanently forfeited. TMC owes you nothing for expired cashback. Cashback earned after that window opens is not affected and becomes claimable under the same rule. A claim submitted before the window ends is honored even if the transaction settles after it. If TMC suspends claims, the window is extended by the length of the suspension. If a claim fails because of a technical error, the cashback is returned to you and remains claimable for at least one further hour.
6.5 Referral rewards do not expire. The referrer's reward is the referrer's tier percentage applied to 1% of the trading volume of the referred user. The referred user's cashback is that user's tier percentage applied to 0.50% of their own trading volume. The two amounts are calculated independently and do not reduce each other. Referral rewards do not expire and remain claimable while your account is in good standing.
6.6 Abuse. TMC may withhold, cancel or recover Rewards connected to wash trading, self-referral, referring accounts you control, the use of multiple accounts, exploitation of an error, or any Prohibited Use (Section 9). TMC may delay a claim in order to review it, in particular a large claim.
6.7 Changes to Rewards. TMC may change, suspend or end any part of the Rewards program, including tiers, thresholds, rates, the minimum claim amount, the Claim Fee and the expiration period. TMC will give at least 7 days' advance notice in the Interface, except where an immediate change is needed for security, to comply with law, or to stop abuse. Changes apply only to Rewards earned, and claims made, after they take effect. Rewards you have already earned are not reduced by a change, but remain subject to the expiration rule that applied when they were earned. If you do not accept a change, you must stop using the Rewards program. Your continued use after the notice constitutes acceptance.
6.8 Desks. A "Desk" is a community space on the Interface that a user (the "Desk Owner") opens for other users ("Members"). Opening a Desk, joining a free Desk and following a Desk cost nothing. A Desk Owner who holds a Plan (Section 6.12) may offer paid access to a Desk ("Paid Desk") and may sell separate digital products, such as a module of content, a reserved channel, an event ticket or a coaching slot ("Upsells"). Desk Owners are independent of TMC. TMC does not create, review, endorse or guarantee the content, courses, events, calls or advice of any Desk or Desk Owner, and nothing in a Desk is financial, investment, legal or tax advice from TMC.
6.9 Passes and payments. A Member buys access to a Paid Desk with a pass (24 hours, 7 days, 30 days or 365 days, as the Desk Owner offers) and buys an Upsell as a one-time purchase, at the price in SOL shown before payment. You pay by signing one transfer of that exact price from your Embedded Wallet to TMC. TMC adds no charge to the price shown to you, apart from blockchain network fees, which you pay to the network. A pass or an Upsell starts once TMC has confirmed the payment on-chain. Paying before a pass ends extends it from its end date. A Desk Owner may offer a free trial of 24 hours, limited to one per user and per Desk, which never turns into a paid pass by itself.
6.10 Auto-renew. If you tick Auto-renew on a pass of 7 days or longer, then when you open the Interface within the renewal window stated in the Desks documentation, the Interface offers you the renewal and you can cancel it before it is signed. A renewal is a transaction that you sign with your session key, never a deduction made by TMC on its own: TMC holds no key to your wallet and never debits you while you are away. No renewal is offered if the price has risen since your last payment or if you have turned Auto-renew off. If you do not open the Interface during the window, nothing is debited and your access ends after the grace period stated in the Desks documentation.
6.11 No refunds. Passes and Upsells are prepaid and non-refundable. TMC does not refund a payment because you leave a Desk, are removed from it by its Desk Owner, are dissatisfied with its content, or because its Desk Owner stops selling or becomes unavailable. TMC may, in its sole discretion, return funds to buyers where it finds fraud (Section 6.16). Nothing is taken for a payment that does not confirm.
6.12 Plans. To sell a Paid Desk or an Upsell, a Desk Owner must hold a seller plan ("Plan"): Plus or Pro. The Plans, their prices in SOL, their limits and the commission that TMC retains on each sale are set out in the fee documentation and in the Desks documentation. TMC retains its commission, a percentage plus a fixed amount in SOL, from the Desk Owner's share of each payment (pass, renewal or Upsell); it is never added to the price a Member pays. A monthly Plan fee is taken from the Desk Owner's first sales of the month, never from the Desk Owner's wallet, and never exceeds those sales. A yearly Plan is paid upfront from the Desk Owner's wallet and is non-refundable; a yearly Plan that is not renewed continues as a monthly Plan. TMC may change the Plans, their prices, limits and commissions on at least 7 days' notice in the Interface; a change applies only to periods that start after it takes effect.
6.13 No Rewards on Desk payments. Payments for passes, renewals, Upsells and Plans earn no cashback and no referral rewards under Sections 6.1 to 6.7.
6.14 Desk earnings. The Desk Owner's share of each payment is shown as Desk earnings and is claimed separately from Rewards, in SOL, to the Desk Owner's primary Embedded Wallet and to no other address, in payouts of at most 2 SOL each. The Claim Fee in Section 6.3 applies to each payout of Desk earnings.
6.15 Responsibilities of Desk Owners. A Desk Owner is solely responsible for the content of the Desk and for what it sells and promises. A Desk Owner must not promise profits or results, must not pay or reward anyone for recruiting, and must comply with Section 9 (Prohibited Use) and with the laws that apply to what it sells, including consumer, tax and securities laws. A Desk with an active pass cannot be closed, and a Desk Owner who stops selling must honor every pass and purchase already paid until its end.
6.16 Fraud and freezes. If TMC suspends, restricts or removes a Desk Owner under Section 17, or reasonably suspects fraud or abuse, TMC may stop new sales and renewals on the Desk Owner's Desks, make those Desks read-only, and freeze the Desk Owner's unclaimed Desk earnings. TMC may then, in its sole discretion, release them or return them, in whole or in part, to Members who paid in the previous 30 days. Desk earnings already claimed are not recovered by TMC.
7. No Financial, Investment, Legal, or Tax Advice
Nothing on the Interface is, or should be construed as, financial, investment, legal, accounting, or tax advice, a recommendation, or a solicitation. TMC does not consider your objectives or circumstances. You are solely responsible for your decisions. See the Risk Disclaimer.
8. Assumption of Risk
Trading memecoins and digital assets is extremely high-risk and may result in the total loss of your assets. Risks include, without limitation: extreme volatility and illiquidity; fraud, "rug pulls," honeypots, and worthless or malicious tokens; bugs or exploits in Third-Party Programs and in the tokens you trade; front-running and MEV; network outages and congestion; and the irreversibility of on-chain transactions. You assume all of these risks. TMC does not vet, audit, or endorse any token.
9. Prohibited Uses
You agree not to use the Interface to: (a) violate any law; (b) engage in market manipulation, wash trading, or fraud; (c) launder money or finance illicit activity; (d) infringe any third party's rights; (e) transact where you are a Restricted Person; (f) attack, overload, scrape, reverse-engineer, or interfere with the Interface or its infrastructure, or bypass its rate limits or security; or (g) abuse the service with bots or automated means. We may restrict or terminate access for any violation.
10. Restricted Jurisdictions and Persons
The Interface is not offered to, and may not be used by, any person who is a resident of, located in, or a citizen of the United States, the European Union / European Economic Area, or any jurisdiction subject to comprehensive OFAC or equivalent sanctions, or who is otherwise a sanctioned or restricted person (a "Restricted Person"). By using the Interface you represent that you are not a Restricted Person. TMC does not actively verify your jurisdiction and relies on your representation. Ensuring your use is lawful where you are is your responsibility.
11. Third-Party Services and Content
The Interface depends on and links to third-party services, including the Solana blockchain, RPC and data providers, wallet software, Third-Party Programs, the TradingView charting library (see the TradingView Attribution page), and token metadata and images hosted by third parties. TMC does not control and is not responsible for any third-party service or any token, its issuer, or its content. Your use of third-party services is governed by their own terms.
12. Intellectual Property
The Interface, including its design, code, text, and the "TMC" and "Trading Meme Coins" names and logos, is owned by TMC. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Interface for its intended purpose. All other rights are reserved. Third-party marks belong to their owners; see the Trademark Policy and the TradingView Attribution page.
13. No Warranties
THE INTERFACE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, or freedom from error, bugs, or security vulnerabilities. TMC does not warrant that the Interface will be uninterrupted, secure, or error-free, or that any data displayed is accurate or current.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TMC AND its contributors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of assets, profits, data, or goodwill, arising from or related to your use of (or inability to use) the Interface, any Trade, any Third-Party Program or token, or any loss of access to your Wallet, even if advised of the possibility. To the extent liability cannot be excluded, TMC's aggregate liability is limited to the greater of the Fees you paid to TMC in the 3 months preceding the claim, or USD 100.
15. Indemnification
You agree to indemnify and hold harmless TMC and its contributors from any claim, loss, liability, or expense (including reasonable legal fees) arising from your use of the Interface, your Trades, your violation of these Terms or any law, or your infringement of any third party's rights.
16. Changes to the Interface and Terms
We may modify, suspend, or discontinue any part of the Interface at any time. We may update these Terms; the "Version" date reflects the latest revision, and your continued use after an update constitutes acceptance.
17. Termination
We may restrict or terminate your access at any time, with or without notice, including for any violation of these Terms or any law. Sections that by their nature should survive (including 3, 7 to 15, 18, 19) survive termination.
18. Governing Law and Dispute Resolution
These Terms are governed by the laws of the British Virgin Islands (BVI), without regard to conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Interface will be resolved by final and binding arbitration administered in the British Virgin Islands, conducted in English by a single arbitrator. To the maximum extent permitted by law, you and TMC waive any right to a jury trial and to participate in a class action or class-wide arbitration.
19. Miscellaneous
If any provision is unenforceable, the rest remains in effect. These Terms (with the incorporated policies) are the entire agreement between you and TMC regarding the Interface. You may not assign these Terms; we may. No waiver is a continuing waiver. Nothing here creates any partnership, agency, or employment relationship.
